By commissioning me for custom artwork or buying from my shop, you are agreeing to the terms of service outlined below:

I. GENERAL DISCLAIMERS

⟡ By commissioning me or buying from my shop, you have read and fully agree to my terms of service.⟡ Please read this entirely and carefully. If you are not comfortable with my Terms Of Service and/or are not willing to agree to the conditions, you may not request a commission.⟡ Certain terms can be changed or adjusted through a mutual agreement established prior to the commission.⟡ Prices are subject to change based on demand.⟡ I reserve the right to refuse or discontinue a commission at any time and for any reason.⟡ Disrespectful behavior will not be tolerated and your commission will be cancelled if it occurs.⟡ The terms outlined here may vary slightly depending on the type of commission or shop item.⟡ If there is no response or payment three days after being contacted by me, your slot will be forfeited.⟡ Any file you paid for will be available from me for a finite time only. I take measures to preserve most files for up to 3 months. However, I cannot guarantee against computer failure or accidental deletion or loss.⟡ Any work done or made available to you must not be used for generative AI (Artificial Intelligence, Machine Learning, AI/ML Training), cryptocurrency (NFT, blockchain) or any for-profit platforms or purposes. Such usage is completely prohibited and may result in legal action taken.

♦ If sufficient evidence is discovered that you are actively engaging in the use or spread of generative AI or cryptocurrency, I reserve the right to cancel any ongoing commissions with you without providing any refund to you for the cancelled works. I will retain full rights to any work cancelled by this clause. Furthermore, you will be blacklisted from commissioning me again.

⟡ You agree that any commissioned work is for personal, non-profit purposes unless otherwise stated or the appropriate licenses are purchased. Commercial licenses are available to purchase if you wish to use a commission for profits. Commercial licenses exclude generative AI (Artificial Intelligence, Machine Learning, AI/ML Training), cryptocurrency (NFT, blockchain) usage.⟡ Clients who are found breaking these terms during or after receiving commission work from me will be blacklisted from working with me in the future.⟡ Have questions? II. PAYMENT & FEES

⟡ I am not responsible for any mistakes that are made on your part over the course of the transaction.⟡ Payment is done through Vgen.⟡ Full payment (100% upfront) is required upfront unless we agree otherwise.⟡ Payment plans are available (split 50% upfront and 50% after sketch approval) upon request; however, you will only receive a sketch of your commission. Full payment is required to continue the commission after the sketch. I will not accept anything less than half of your total payment.⟡ Depending on the complexity of design or commission type + any add-ons requested, prices can increase. The prices listed are my base prices.⟡ A design fee will be charged for clients with no reference images that would like me to draw solely from a description and/or a collection of photos. The exact price of the fee will be dependent upon the complexity of the commission.⟡ Additional fees will be charged for excessive or major revisions (see the “Revisions” section).⟡ A proposal with commission scope, details, and fees be sent for you to review. After you accept the proposal and full/half payment is received, your commission will be accepted and put into a queue. You can find my queue list on my Vgen.⟡ Repeated counts of commissioning a project and failing to pay will result in blacklisting.⟡ Paying in any other way (not agreed upon, not discussed) is considered a donation.⟡ For auctions, you are NOT allowed to retract your bid. On your first problematic transaction, you'll receive a simple verbal warning.
The next time you back down from the auction you will be blacklisted and will not have the opportunity to bid on future auctions. Please only bid if you are sure you can pay your bidding.⟡ Tips/Boosts are always appreciated but not necessary!

III. CLIENT OBLIGATIONS & AGREEMENT

⟡ Clients are expected to carefully read through and understand both my TOS and Commission Information.⟡ Clients must be 18+ years old and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf to commission me.⟡ By placing an order, a Client agrees to these terms and conditions. Please read these terms carefully.⟡ Any changes to it will be discussed case to case in private messages and as such are also bonding to both sides.⟡ Clients who have commissioned and/or received work before this TOS has gone into effect are still bound to its contents.⟡ Write in a clear and concise manner when filling out the commission form.⟡ Provide multiple clear reference images of the character/subject. Mood boards are welcome!⟡ Maintain professional conduct throughout the commission process. Any ill behavior will not be tolerated and a Client's commission will be canceled and refunded if it occurs.⟡ Respond in a timely fashion.⟡ Assume responsibility for any important information and clear descriptions/references you fail to provide me that results in my inability to complete your commission to your full satisfaction.

IV. PROCESS & WORK SCHEDULE

⟡ I usually take up to 1-2 days to respond to your initial order inquiry.⟡ I work Monday-Friday following (GMT-7). I may reply on weekends, but those are generally my off days.⟡ I will show WIPs via Vgen, and/or Email throughout the commission process (sketch, lines, colors, rendering stages).⟡ I will send over a sketch after payment, this is considered the first checkpoint of the commission and I will require approval of the sketch before continuing the commission. I will accept one complete revision at the sketch stage. It is encouraged that you ask for any edits at this point, as it will be easier to fix during this time.⟡ Any work started after the sketch is continued because of your approval. If you are not satisfied with the final piece and request any major editing (examples are as provided in the “Revisions” section), there will be an upcharge in price or the current piece will be considered as the finished product and will not be changed.⟡ Sketch and subsequent in-progress shots will initially be sent as low-res, watermarked images.⟡ Turnaround rate is about 1-2 months. I will always do my best to complete your commission within a timely manner, but please understand that sometimes life may get in the way and cause a delay in completing your commission. I will notify you as soon as possible of any issues that come up to keep you informed.

V. REVISIONS

⟡ Every time when I send you a WIP, you are encouraged to let me know if you would like me to make any changes to the artwork.⟡ Please note, that these changes have to be relevant to the stage of the WIP. (In other words: you can only change the pose of the character during the sketch phase. You can only request change to coloring choice during flat colors phase, etc.).⟡ There is no fee charged for changes during the sketching phase.⟡ A limited amount of minor revisions are allowed in coloring/rendering stage and are covered in the commission price.⟡ Excessive minor revisions to the point that forward progress on the work has halted will incur additional fees.⟡ Revisions due to my own negligence are free.⟡ Additional major revisions will incur additional fees.⟡ It is up to my discretion as to what constitutes minor and major revisions.⟡ You are not allowed to use rejected sketches and I am allowed to use them for future artwork, YCH, base sets.

VI. ADOPTABLES & CUSTOM DESIGNS

Design:
⟡ Please credit me as the designer! You can link to my site or any one of my socials.⟡ You may not claim the original artwork or species as your own, and you may not set it up for redistribution.⟡ Feel free to change the adoptable/design into other forms or species! Remember to credit me as one of the designers. Should you trade/sell the design, all other forms must go with the original design.⟡ Redesigns are okay as long as it is done by an artist, NOT AI.⟡ Any names and little descriptions that come with the design/adoptable are optional, I encourage you to give them new names/personalities/etc.!⟡ Adoptables/designs have the option to be used commercially.⟡ I have the right to not sell an adoptable/design to anyone for any reason.⟡ My designs and artwork are not to be used for NFTs, cryptocurrency, or AI related purposes.Artwork:
⟡ I retain partial rights to the design. This includes all copyrights, rights to the intellectual property, the rights to distribute, reproduce, and use in my online galleries. I will not reuse or resell the design again for personal and commercial projects, unless the design has been traded back to me or has been reclaimed due to TOS violation(s).⟡ You can crop, rotate, or resize it for anything (icons, pagedolls, etc.) However, please do not draw over the original artwork unless you have asked me. I am always available for edits but in the case I am not, please tell me before you or another artist edit the image.Trading/Selling:
⟡ You may sell, trade, or gift designs purchased from me, unless a rule in its corresponding listing states otherwise.⟡ Any design you received from a trade or gift cannot ever be resold for real money or equivalent (game currencies, da points, etc.).⟡ You MAY sell a design/adoptable. But you may NOT sell for more than original price that was paid (Exceptions being if they have extra art, the price of which can be added on), flip the design/adoptable, or profit off of a design/adoptable without a commercial license. Exceptions if they have extra art, bought using real money, the price of which can be tacked on.⟡ Please notify me when you sell/trade/gift a design or adoptable, so I can keep track of who owns them. If new owners wish to use the design/adoptable commercially, they can purchase a commercial license from me.

VII. COPYRIGHT & USAGE POLICY

I, Silhou (the artist):
⟡ Unless agreed otherwise, I retain original copyright and ownership of the artwork over any commissioned works

Therefore, I am allowed to use the copyrighted artwork to:♦ Promote my commissions♦ Publish books with it (artbooks, etc.)♦ Display it anywhere to my liking (website, social media, etc.), unless the client has asked to keep the commission private.

⟡ I will NOT claim the intellectual property (IP) of the commissioned artwork. Any characters portrayed in the commissioned work remain
copyrighted to their rightful owners.⟡ I will NOT profit further from the commissioned artwork unless you (the client) break any of the terms.⟡ I reserve the right to post the commissioned work on my social media, unless a NDA/privacy fee (+$50) is paid. The fee covers the loss of growth I could receive from posting artwork.⟡ I reserve the right to stream, record, and upload videos of the creation of the artwork, unless a NDA/privacy fee (+$50) is paid. The fee covers the loss of growth I could receive from posting artwork.You (the customer/client/commissioner):⟡ You retain the rights to the intellectual property (IP).⟡ The final product is strictly for your personal use only, unless you purchase the appropriate license to use as promotional material or to make profits from the commissioned piece (branding, reselling, redistributing, uploading to POD-services, make prints, etc.).⟡ You may NOT alter the commissioned artwork without my (the artist's) consent.⟡ You MAY upload the commissioned artwork (watermarked/glazed version) on any website or social channels. You must credit and link back to me/tag me when sharing or using the commissioned work. Please, avoid posting full resolution works in online spaces as they might end up being used by third parties for monetary gain.

Usage:

⟡ You may use or edit the commissioned work in the following ways:

♦ Print or create merch of the work for personal use/gifts for friends.♦ Crop and/or resize the image for use as an avatar, banner, etc., on personal social media.♦ Use the artwork as reference for a study.♦ Post the artwork on social media, with credit to me clearly visible.

⟡ You may NOT use or edit the commissioned work in the following ways:

♦ Claim the artwork as yours.♦ Remove my watermark/signature.♦ Paint over or otherwise alter the artwork in ways not covered under the allowed uses above.♦ Use the commissioned piece in any technology related to NFTs, cryptocurrency, or generative AI.♦ Reproduce the work commercially without purchasing the license from me.

Licenses:
⟡ Your rights to redistributing, reproducing, advertising, displaying the artwork in your websites, social media are rooted in the form of license of your choice, as explained in this section of Terms of Service.⟡ Please note that the rates listed only concern private persons and small businesses. For businesses, agencies, organizations, management and groups, please contact me to arrange rates in more detail.⟡ Credit is still required when using the work with any license.♦ PERSONAL USE: This includes: Profile Pictures/Banners, Wallpapers, Backgrounds, Posting on social media, Roleplay art, Merchandise for personal use/gifts for friends.‣ This type of artwork is not approved for profitable redistribution. Reproduction and selling is prohibited.♦ MONETIZED USE: This includes Merch, Banner, Schedule Art, Streaming Assets (Overlays, Emotes, PNGTuber) & Network Assets (Website Art, Graphics, etc).‣ You may profit off the art with the corresponding license purchased.

VIII. CANCELLATION AND REFUNDS

⟡ Once the final product is approved, a refund is not permitted.⟡ If you cancel your order before I start it, you can get a full refund.⟡ If for any reason I am unable to start your commission you will receive a full refund.⟡ You may cancel the commission any time, after which I will issue a refund equivalent to the amount of work not done.⟡ I reserve the right to cancel and refund the money for your commission at any time.⟡ If sufficient evidence is discovered that a client is actively engaging in the use or spread of generative AI or cryptocurrency, I reserve the right to cancel any ongoing commissions with the client without providing any refund to the client for the cancelled works. I will retain full rights to any work cancelled by this clause. Furthermore, you will be blacklisted for commissioning me again.⟡ You are NOT authorized to issue a chargeback for unjust reasons or after you have approved the artwork.⟡ You are required to contact me when you need to cancel a commission request.⟡ If you request chargeback at any point without contacting me to cancel/refund a project you will lose all aforementioned rights to the commissioned piece and I will have the full right to profit further from it in any way. I will decline the chargeback and supply the payment processor with our conversations in which we talk about the commission as evidence that I have completed work for you. Furthermore, you will be blacklisted for commissioning me again.

IX. WHAT YOU RECEIVE

⟡ Full-resolution file (300 DPI) of final drawing.⟡ Smaller Glazed/Watermarked version of final drawing for internet upload.⟡ Final file formats are usually PNG and GIF (depending on the commission type) unless another resolution/file type is requested and can be provided.
